Yoon & Yang advises NH NongHyup Bank on its acquisition of a Cambodian microfinance bank

In August, 2018, NH NongHyup Bank obtained the approval from the National Bank of Cambodia and the Ministry of Commerce for its acquisition of Samic MFI, a Cambodian microfinance company.  NH NongHyup Bank will continue Samic MFI’s business in Cambodia under the new name of NongHyup Finance Cambodia and will extend the microloans to local farmers and small businesses.

Yoon & Yang LLC has provided the comprehensive legal advice to NH NongHyup Bank in negotiating and executing the acquisition agreements by (i) establishing a favorable transaction structure for NH NongHyup Bank through multilateral analysis of Korean and Cambodian financial regulations; (ii) assisting NH NongHyup Bank to successfully negotiate with sellers, the multinational investors from the Republic of Mauritius, the Republic of Philippines, etc.; and (iii) preparing various contracts, including the share purchase agreement, etc.  Yoon & Yang further advised on NH NongHyup Bank’s future businesses, thereby contributing to the successful completion of this transaction as well as establishment of NH NongHyup Bank’s business plans.
