SPC Group’s mergers of its five subsidiaries to enhance efficiency of its management

SPC Group, a Korean bakery, food and beverage company implemented an integration of its four subsidiaries into SPC Samlip and SPC Networks in order to facilitate the managerial efficiency. The process was carried out in the manner that SPC Samlip merged with three subsidiaries, i.e., Mildawon Co., Ltd., Eggfarm Co., Ltd. and Glucksschwein Co., Ltd. and SPC Networks merged with one subsidiary, CSquare Soft.
 
Yoon & Yang’s M&A team successfully represented and advised SPC Group in all aspects of the transactions such as establishing the deal structures, setting up the entire deal schedule, providing the transaction documents to help complete the integration of the subsidiaries within three months.
 
Occurring in separate two mergers of SPC Group’s five subsidiaries within only three months, the transactions demanded that all legal issues that arise in the two transactions be addressed concurrently throughout the transaction process. Yoon & Yang successfully provided comprehensive legal advice on corporate issues for a successful closing.
 
The transactions are significant in that SPC Group is now able to enhance the expertise in and efficiency of its operations of subsidiaries and to improve its corporate compliance.
