South Korean in-house counsel should act as controllers within a company regarding artificial intelligence (AI), says Yoon & Yang partner Kwang-Wook Lee.

Yoon & Yang provided KT&G with comprehensive legal advice on a multi-stage cross-border deal involving KT&G’s establishment of a special purpose company (SPC) in Sweden, the Swedish SPC’s acquisition of 100% of the equity interests in Another Snus Factory Stockholm AB and Another Snus Factory Oslo AS from ASF Group, followed by KT&G’s subsequent sale of a 49% stake in the Swedish SPC to Altria Group. The transaction featured a highly complex, multi-jurisdictional structure involving a joint investment between a Korean company (KT&G) and a U.S. company (Altria Group) implemented through a Swedish SPC to acquire Swedish and Norwegian target companies from a Swiss company (ASF Group), requiring careful navigation of legal and regulatory considerations across multiple jurisdictions. Yoon & Yang provided end-to-end legal support throughout the transaction, including:(i) negotiation with Altria Group on the joint investment;(ii) transaction structuring and drafting of transaction documents;(iii) legal due diligence of the target companies;(iv) establishment of the Swedish SPC; (v) acquisition of the target companies by the Swedish SPC and the subsequent sale of the Swedish SPC shares to Altria Group. This multifaceted, multi-jurisdictional transaction encompassing joint investment, SPC formation, and acquisition and subsequent resale of equity exemplifies the depth and breadth of Yoon & Yang’s expertise and experience in cross-border M&A and international regulatory advisory services.

Yoon & Yang LLC successfully advised NAU IB Capital on acquisition of 100% stake in Sun Fluoro System Co., Ltd. (“Target Company”), a Japanese semiconductor equipment company, through establishment of a new technology business investment association under the Specialized Credit Finance Business Act for a total consideration of JPY 26 billion (approximately KRW 250 billion). As legal counsel for NAU IB Capital, Yoon & Yang provided comprehensive legal support throughout the transaction. The firm’s responsibilities included reviewing the transaction structure, conducting legal due diligence on the Target Company’s subsidiaries in Korea and the United States, and coordinating with local law firms in Japan, China, and Taiwan in respect of due diligence conducted for the Target Company’s subsidiaries in those jurisdictions. In addition, Yoon & Yang drafted, reviewed and negotiated key transaction agreements, including the memorandum of understanding (MOU) and share purchase agreement (SPA), supported the client on various regulatory filings, such as Japan’s Foreign Direct Investment (FDI) notification and Korea’s foreign exchange transaction reporting requirements, and provided the closing assistance. In particular, this transaction involved a multitude of complex, multi-jurisdictional issues due to the Target Company being headquartered in Japan, with its subsidiaries located in Korea, Taiwan, China, and the United States, and having numerous Japanese individual shareholders as sellers. Yoon & Yang played a pivotal role from structuring to closing of the transaction, offering effective solutions that seamlessly navigated the differing legal and regulatory environments across jurisdictions and successfully aligned diverse interests of all parties involved, ultimately enabling the successful closing of the transaction.

Yoon & Yang LLC successfully advised POSCO Plantec, a financially troubled POSCO affiliate, on its turnaround through M&A. POSCO Plantec, a Korean industrial machinery manufacturer, commenced its restructuring program in June 2015 while it was under the supervision of creditor banks including Korea Development Bank. However, after implementing intensive restructuring programs, the company selected United Asset Management Company (UAMCO) as a preferred bidder to purchase the company in late 2019. POSCO Plantec issued new shares to creditors through debt-to-equity conversion and also issued additional new shares to UAMCO in March 2020. POSCO Plantec was able to improve its financial structure through such transactions and finally emerged out of the restructuring program in June 2020. Yoon & Yang advised POSCO Plantec on all aspects of the transactions including the selection of preferred bidder, the paid-in capital increase for third-party allocation by issuing new shares, the debt-to-equity conversion, and the capital reduction without refund. In particular, Yoon & Yang advised POSCO Plantec with respect to bidding process, structure of transactions, contract drafting and negotiation, and closing. Yoon & Yang has a long track record of advising on distressed company M&A transactions. In 2011, the firm successfully advised Woori Financial Group on its acquisition of Samhwa Mutual Savings Bank after Samhwa went bankrupt because of financial troubles.
